Global Investment Firm - Senior Counsel, Private Equity & M&A
A leading global investment firm with diversified strategies across private equity, credit, real assets, and insurance is seeking a Senior Counsel, Private Equity & M&A to join its expanding legal team. In this role, you will provide dedicated legal support to the U.S. private equity business, oversee the full lifecycle of complex PE transactions, support the firm's proprietary M&A activity, and advise on a broad range of corporate and strategic initiatives.
Key Responsibilities:
- Serve as the primary legal advisor to the U.S. Private Equity team, overseeing all stages of private equity transactions from initial evaluation through post‑close integration.
- Provide comprehensive legal guidance on deal structuring, diligence, negotiation, and execution across a variety of PE investments.
- Advise deal teams on legal matters arising within portfolio companies, including governance, regulatory considerations, and general corporate issues.
- Support the firm's internal M&A activity, including acquisitions, divestitures, and strategic corporate initiatives, in partnership with internal strategy and legal functions.
- Contribute to enterprise‑wide initiatives focused on regulatory compliance, risk mitigation, operational efficiency, and implementation of new legal processes.
- Collaborate with internal stakeholders, manage outside counsel, and ensure alignment across legal, investment, and strategic teams.
Qualifications:
- J.D. (NY bar preferred) and 10+ years of private equity and M&A experience at a leading international law firm and/or in-house at a major financial services firm.
- Strong understanding of U.S. legal and regulatory frameworks related to private equity transactions and corporate M&A.
- Ability to communicate complex legal concepts clearly and effectively to senior and junior stakeholders across the organization.
- Exceptional attention to detail and a demonstrated track record of producing high‑quality work product in fast‑paced environments.
