The Opportunity
Our client is seeking a Senior Corporate Counsel - M&A (Solar Acquisitions) to join their team in Rockville, MD (or remote). This is a strategic, transactional role supporting distributed solar acquisition and development projects. This is a chance to work on high-impact deals shaping the future of clean energy.
Key Responsibilities
- Provide transactional legal support for distributed solar acquisition and development transactions, including community solar, C&I/behind-the-meter, virtual net-metered, and AC/DC coupled storage.
- Review, draft, and negotiate agreements such as MIPA/APAs, PPAs & VPPAs, term sheets, LOIs, and ancillary documents.
- Serve as lead attorney on acquisition and development transactions.
- Advise on commercial and legal matters related to solar project acquisitions.
- Support transaction and business development teams with project-level legal leadership.
- Advise General Counsel on risk management and contractual obligations.
- Engage and manage outside transactional counsel.
- Ensure clarity and consistency across acquisition transactions.
- Interface directly with developers, sellers, and offtake counterparties.
- Report to the General Counsel and Chief Development Officer.
Qualifications
- Juris Doctor (JD) from an accredited law school.
- Licensed to practice law and in good standing.
- Minimum 5+ years of experience in renewable energy transactions, preferably solar.
- Strong experience with MIPA/APAs required; PPA experience a plus.
- Ability to manage multiple transactions and collaborate with cross-functional teams.
- Excellent communication, negotiation, and leadership skills.
- Commitment to promoting clean energy and embracing company values.
