Corporate Counsel, Technology Transactions
A leading industrial and technology-focused manufacturer is seeking a Legal Counsel to support its growing digital and connected product initiatives. This role will focus on technology transactions, data privacy, and complex data-sharing arrangements across internal platforms and third-party partners.
Key Responsibilities:
- Draft, review, and negotiate a broad range of technology agreements, including software licenses, SaaS, cloud services, data-sharing, API, and systems integration agreements
- Advise on data privacy and data protection matters, including compliance with U.S. and international frameworks, and support the development and implementation of data governance practices
- Partner closely with product, engineering, and IT teams to support data integrations, connected products, and platform development initiatives
- Counsel stakeholders on data rights, ownership, licensing, and permissible use, particularly in the context of commercial partnerships and digital offerings
- Provide practical, business-oriented guidance on risk allocation, limitation of liability, security obligations, and data protection terms in customer- and vendor-facing agreements
- Support incident response, vendor diligence, and assessments of third-party data practices and system integrations
- Collaborate cross-functionally with procurement, cybersecurity, and commercial teams to align legal strategy with evolving technology and business needs
- Assist in developing and refining contract templates, playbooks, and internal processes to support scalable digital growth
Qualifications:
- 4-12 years of relevant experience at a law firm and/or in-house
- Strong background in technology transactions (software, SaaS, data, APIs)
- Experience advising on data privacy and data governance
- Ability to operate independently and collaborate with technical stakeholders
- Comfort working in a fast-paced, evolving environment
