Leading Real Estate Investment Manager - Investment Management Legal Counsel
A leading real estate investment manager with a global institutional investor base is seeking a Legal Counsel to join its New York-based Legal & Compliance team. With a long-standing track record across a broad range of core to opportunistic strategies, this firm offers a highly visible role supporting both its investment platform and regulatory framework.
This position provides a mix of fund formation, transactional support, and regulatory advisory work, with direct interaction across investment, investor relations, and compliance teams.
Key Responsibilities:
- Advise on the formation, structuring, and ongoing operation of U.S. and offshore private equity funds and registered investment vehicles.
- Draft and negotiate fund documentation, including organizational and offering materials, distribution agreements, and related fund-level agreements.
- Negotiate a wide range of investment-related agreements, including joint venture agreements, LP agreements, LLC agreements, SMAs, IMAs, and side letters with sophisticated institutional investors.
- Partner with business teams on fundraising initiatives, including review of marketing materials and investor communications; act as a strategic advisor to internal stakeholders, providing practical, business-oriented legal guidance.
- Provide legal support across corporate governance matters, including entity management and maintenance of books and records.
- Advise on regulatory and compliance matters impacting an SEC-registered investment adviser and broker-dealer.
Required Background:
- J.D. and relevant experience in investment management, funds, or asset management at a top law firm; familiarity with real estate funds is preferred.
- Strong experience with fund formation, investor negotiations, and investment management agreements.
- Working knowledge of U.S. securities laws and regulatory frameworks applicable to investment advisers.
- Strong commercial judgment and ability to operate in a collaborative, fast-paced environment.
