Overview:
A Leading Financial Services Institution is seeking an experienced Senior Corporate Paralegal to join their legal team. This role is ideal for a highly organized professional with a strong background in corporate governance and transactional support. The successful candidate will play a key role in managing legal entities, supporting board activities, and assisting with complex transactions.
Key Responsibilities:
- Entity Management:
- Maintain and update corporate records for domestic and international entities.
- Coordinate formation, dissolution, and qualification of entities.
- Contract Management:
- Draft, review, and manage a wide range of agreements and related documentation.
- Ensure compliance with internal policies and regulatory requirements.
- Transactional Support:
- Assist with M&A, financing, and other corporate transactions.
- Prepare closing checklists, organize documentation, and manage post-closing matters.
- Board Support:
- Prepare board and committee materials, including resolutions and meeting minutes.
- Coordinate logistics for board meetings and maintain governance records.
Qualifications:
- Minimum 6+ years of experience as a corporate paralegal in a law firm or in-house legal department.
- Strong knowledge of entity management, contract administration, and corporate governance.
- Experience supporting complex transactions and board activities.
- Exceptional organizational skills and attention to detail.
- Ability to work independently and manage multiple priorities in a fast-paced environment.
Preferred Skills:
- Familiarity with entity management platforms and contract lifecycle tools.
- Strong communication and interpersonal skills.
- Financial services industry experience is a plus.
