Senior Counsel
We are seeking a strategic and detail-oriented Senior Commercial Counsel to join our legal team. This role is responsible for managing the legal aspects of procurement and commercial transactions, including drafting, negotiating, and reviewing contracts. A key focus of this position is to develop and maintain contract playbooks and templates that streamline legal operations and ensure consistency across the organization.
Key Responsibilities:
- Draft, review, and negotiate a wide range of procurement and commercial contracts, including vendor agreements, service contracts, NDAs, licensing agreements, and supply chain documents.
- Develop, implement, and maintain contract playbooks to guide business teams and legal staff in consistent contract negotiation and risk assessment.
- Create and update standardized contract templates to improve efficiency and reduce legal risk.
- Provide legal advice and support to procurement, finance, and operations teams on contract-related matters.
- Ensure contracts comply with relevant laws, regulations, and company policies.
- Identify and mitigate legal risks in procurement and commercial transactions.
- Collaborate with internal stakeholders and external counsel to resolve contract disputes and support litigation when necessary.
- Stay current on changes in contract law, procurement regulations, and industry best practices.
- Support corporate initiatives, including compliance, employment, and regulatory matters as needed.
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Active license to practice law in the relevant jurisdiction.
- 7+ years of experience in procurement, commercial contracts, or corporate law.
- Strong understanding of procurement processes, commercial law, and risk management.
- Proven experience in developing contract playbooks and templates.
- Excellent negotiation, drafting, and communication skills.
- Ability to work independently and collaboratively across departments.
- High attention to detail and strong analytical abilities.
Preferred Experience:
- Experience in a corporate legal department or law firm with a focus on procurement and commercial transactions.
- Knowledge of contract law, related software, HIPAA regulations, data security and IP law.
- Experience with contract lifecycle management tools.
