Junior Finance (M&A or Corporate) Counsel - Prestigious Global Investment Bank
The Firm
Larson Maddox is working with a highly respected, independent and elite global investment bank with a centuries‑long history advising leading corporations, financial sponsors, governments, and families on their most consequential transactions. Our firm is known for discretion, intellectual rigor, and a long‑term, partnership‑driven approach-qualities that distinguish us in a market increasingly defined by scale and volume.
Our platform is internationally integrated, conflict‑free, and built on the belief that exceptional judgment and craftsmanship matter as much as execution.
The Opportunity
This is a rare opportunity for a junior lawyer (1-3 years of experience) to receive legal training on par with top‑tier Big Law finance practices, while stepping in‑house significantly earlier than is typical for the market-and with a title and exposure that reflect the firm's prestige.
The Junior Finance Counsel will work directly on sophisticated, high‑profile financing transactions, gaining hands‑on experience across the full lifecycle of a deal. Unlike many in‑house roles at this level, this position offers deep technical responsibility, meaningful drafting experience, and close mentorship, rather than narrow or supervisory work.
For the right candidate, this role combines:
- The rigor and deal complexity of an elite law firm
- The strategic perspective and integration of an in‑house role
- A platform where junior lawyers are trusted early and developed intentionally
Responsibilities
- Support complex domestic and cross‑border financing transactions, including acquisition finance, leveraged finance, and structured solutions
- Draft, review, and negotiate primary and ancillary financing documentation (credit agreements, commitment papers, intercreditor agreements, security documents, etc.)
- Participate in deal structuring, legal due diligence, and transaction execution from inception through closing
- Work closely with senior bankers, legal leadership, and international colleagues across the firm's global offices
- Coordinate with top‑tier external counsel while maintaining a hands‑on role in legal analysis and drafting
- Monitor regulatory and market developments relevant to financing activities
Qualifications
- J.D. from a top‑tier law school
- Admission to the New York Bar (or eligible for admission)
- 1-3 years of experience at a leading law firm or financial institution, with exposure to finance, banking, or capital markets
- Strong technical and drafting skills, with the ambition to build depth rather than specialize too narrowly too early
- Sound commercial judgment and the confidence to engage with senior stakeholders
- A genuine interest in building a long‑term in‑house career at a globally respected advisory institution
Why This Role Is Different
- Big Law-level training without the traditional in‑house wait
- Early exposure to complex, market‑defining transactions
- A prestigious in‑house title that meaningfully reflects responsibility and experience
- A culture that values quality, continuity, and professional development over churn
- Competitive compensation and benefits consistent with the firm's standing
