Fund Formation Attorney
Overview
A leading alternative investment platform is seeking an attorney to support its investment funds legal function, with a concentration on U.S. and offshore private investment vehicles. This role will provide legal guidance across the lifecycle of private funds, including product development, fundraising initiatives, regulatory matters, investor communications, fund structuring, governance, and transactional activities. The position is ideal for a legal professional with deep experience advising private funds and working with complex regulatory frameworks governing investment products.
Key Responsibilities
- Negotiate and manage legal arrangements with external business partners, including investment sponsors, placement agents, and other service providers.
- Draft, review, and update offering documents, governing agreements, subscription materials, and other fund-related documentation.
- Provide legal analysis and advice related to the launch, distribution, and operation of investment products.
- Collaborate with internal stakeholders and external advisors on corporate, regulatory, and investment-related matters affecting private funds.
Desired Background
- Minimum of two years of experience advising on private investment fund formation, structuring, and ongoing operations within the asset management industry.
- Strong working knowledge of federal securities laws and investment management regulations, including private offering exemptions and registered investment company frameworks.
- Active bar membership in at least one U.S. jurisdiction.
- Experience gained at a law firm, investment adviser, asset manager, or alternative investment organization is preferred.
