Corporate Paralegal
Our client, a publicly traded late-stage Biotech, is seeking a Corporate Paralegal to join its growing legal team. It is an exciting time to join, as the company is on the brink of commercializing its first therapy in the oncology space.
Key Responsibilities
- SEC Filings: Prepare and assist with periodic and current reports (Forms 10-K, 10-Q, 8-K), Section 16 filings, and other disclosures in compliance with SEC regulations.
- Corporate Governance: Support board and committee meetings, including drafting minutes, maintaining corporate records, and managing governance documentation.
- Entity Management: Maintain subsidiary records and assist with formation, dissolution, and qualification processes.
- Compliance Support: Collaborate with internal teams to ensure adherence to applicable laws, regulations, and internal policies.
- Cross-Functional Coordination: Work closely with finance, investor relations, and external counsel on disclosure and governance matters.
Qualifications
- Bachelor's degree and/or paralegal certification required.
- Minimum 7-10 years of experience as a corporate paralegal, with a focus on SEC filings and corporate governance.
- Experience in a public company environment; biotech or life sciences industry experience is a plus.
- Strong understanding of securities laws, corporate governance principles, and regulatory requirements.
- Experience supporting M&A transactions and financing activities.
- Exceptional organizational skills, attention to detail, as well as the ability to work independently and collaboratively in a team environment.
