About the Role:

We are seeking a skilled and driven Assistant General Counsel to provide legal support for complex commercial transactions and acquisition strategies. This role spans key areas such as construction, IT, facilities, and workforce initiatives, ensuring legal compliance and supporting business operations under the BIW Business Operating System (BOS).

Key Responsibilities:

  • Provide legal counsel on high-value commercial transactions and strategic initiatives.
  • Draft, negotiate, and review contracts, proposals, leases, software licenses, and other legal instruments.
  • Advise internal departments on legal compliance, risk management, and policy development.
  • Monitor and interpret regulatory changes (e.g., FAR, DFARS) and ensure alignment with Prime Contract obligations.
  • Represent the company in meetings with government agencies, contractors, suppliers, and professional organizations.
  • Support litigation efforts and collaborate with outside counsel as needed.
  • Contribute to continuous improvement by analyzing legislation and supporting audits and claims resolution.

Qualifications:

  • Juris Doctor (JD) from an accredited law school.
  • Minimum of 4 years of legal practice experience.
  • Active law license in Maine or ability to obtain within six months.
  • Strong legal research, writing, and analytical skills.
  • Experience with complex commercial transactions and various contract structures.
  • Familiarity with government contracting, procurement processes, and regulatory compliance.

Preferred Experience:

  • Background in law firm or in-house counsel roles.
  • Knowledge of engineering, software, construction, real estate, labor, or EHS matters.
  • Experience with federal procurement and fair competition requirements.
  • Proficiency with legal research tools and modern office software.
