About the Role
The company is seeking an experienced attorney with expertise in renewable energy project finance and M&A transactions to join their legal team as Assistant General Counsel. This is a high-impact role that will work closely with senior leadership, business development, and finance teams to support the structuring, negotiation, and execution of complex transactions across the company's growing portfolio.
Responsibilities
- Lead Legal Support for Project Finance: Serve as the primary legal advisor on all aspects of project financing, including debt, tax equity, and construction financing for utility-scale solar and battery storage projects.
- Manage M&A Transactions: Oversee legal execution of acquisitions, divestitures, and joint ventures, including due diligence, structuring, negotiation, and closing.
- Negotiate Complex Agreements: Draft and negotiate key transaction documents such as equity purchase agreements, credit agreements, intercreditor agreements, and security documents.
- Coordinate Cross-Functional Deal Execution: Work closely with internal teams-development, finance, engineering, and operations-to align legal strategy with commercial and technical objectives.
- Engage and Oversee External Counsel: Manage outside legal advisors to ensure efficient, high-quality support on transactions, while maintaining cost discipline and strategic alignment.
- Support Internal Investment Committees: Prepare and present legal risk assessments and transaction summaries to executive leadership and investment committees.
- Mitigate Transactional Risk: Identify and proactively address legal risks related to counterparties, market conditions, and deal structures.
- Contribute to Strategic Growth: Provide legal insight on new market entry, partnership models, and innovative financing structures that support the company's long-term growth.
Qualifications
- J.D. from an accredited law school and active membership in at least one U.S. state bar.
- 5+ years of relevant legal experience, with a strong background in project finance and M&A in the renewable energy sector.
- In-house counsel experience is a plus.
- Exceptional negotiation, drafting, and communication skills.
- Ability to manage multiple priorities in a fast-paced, mission-driven environment.
