Senior Lawyer, Structured Finance
Overview
We're working with a global financial institution with a strong presence in the structured finance and credit markets. The platform is well-established and continues to grow its European footprint, with London as a key hub.
As part of this growth, they are looking to appoint a lawyer as their Structured Finance Legal Director in their London office.
The Role
In this role, you will be the leading point of contact for structured finance and securitisation matters across the UK and wider EMEA region, while also contributing on transactions and initiatives globally.
You will work closely with colleagues across legal, deal and broader business functions, providing input on transaction structures, documentation and related matters. The role also offers exposure to cross-border activity, working alongside international teams on a range of matters.
Key Responsibilities
- Lead on structured finance transactions across a range of asset classes, including ABS, RMBS, CMBS and CLOs
- Review and interpret transaction structures and underlying documentation, identifying key features and areas requiring closer consideration
- Assess deal mechanics and structural components, including payment flows and contractual arrangements
- Work closely with colleagues across the business on transaction-related matters, contributing legal insight to broader discussions
- Provide input on how transactions are structured and documented, helping to ensure a consistent and robust approach
- Support the preparation of internal and external materials relating to transactions where required
- Act as a senior point of contact within the team, providing guidance and sharing expertise where needed
- Collaborate with international teams on cross-border transactions and initiatives
- Contribute to the ongoing development of team processes and knowledge sharing
Required Qualifications
- England & Wales qualified lawyer with 7-14 years' PQE
- Must have strong experience in structured finance / securitisation, with direct exposure to asset classes such as ABS, RMBS, CMBS and CLOs
- Demonstrable experience working on transaction structuring and documentation, including key deal documents (e.g. offering circulars, trust deeds, intercreditor agreements, servicing agreements, liquidity facilities)
- Solid understanding of securitisation mechanics, including tranching, waterfalls and credit enhancement features
- Ability to interpret complex transactions in a commercial and practical context
- Comfortable operating in a senior, visible role, engaging with stakeholders across functions
- Strong analytical skills, attention to detail, and the ability to form clear, well-reasoned views
