Corporate M&A / Private Equity Attorney
Our client, a top-tier law firm with a strong national reputation, is seeking a Corporate Attorney with 3-7 years of experience focused on Mergers & Acquisitions and Private Equity transactions. This is an exceptional opportunity for a mid-level associate to join a high-performing team advising sophisticated clients on complex corporate matters.
Corporate Attorney Key Responsibilities:
- Advise private equity firms, portfolio companies, and strategic buyers and sellers on M&A transactions.
- Draft and negotiate purchase agreements, shareholder agreements, operating agreements, and other corporate documents.
- Conduct and manage due diligence processes.
- Coordinate with tax, finance, and regulatory teams to support deal execution.
- Provide ongoing counsel to clients on general corporate governance and transactional matters.
Corporate Attorney Qualifications:
- J.D. from an accredited law school.
- Active bar membership in an applicable jurisdiction.
- 3-7 years of experience in corporate law, with a focus on M&A and private equity transactions.
- Strong drafting, negotiation, and analytical skills.
- Ability to manage multiple deals and deadlines in a fast-paced environment.
- Excellent communication and client service skills.
Preferred Experience:
- Experience representing private equity sponsors and their portfolio companies.
- Familiarity with middle-market and lower middle-market transactions.
- Exposure to cross-border deals or industry-specific M&A (e.g., healthcare, tech, manufacturing) is a plus.
