General Counsel - Real Estate

A reputable real estate developer is seeking a General Counsel to lead and manage all legal aspects of the real estate development business. This role will primarily focus on real estate transactional work, including acquisitions, dispositions, financing, joint ventures, and development agreements. The ideal candidate will provide strategic legal guidance to support the company's growth while ensuring compliance with applicable laws and mitigating risk.

Key Responsibilities

  • Transactional Leadership:

    • Draft, review, and negotiate purchase and sale agreements, leases, development agreements, and financing documents.
    • Structure and negotiate joint ventures, partnerships, and other strategic transactions.
  • Risk Management & Compliance:

    • Ensure compliance with federal, state, and local real estate laws and regulations.
    • Advise on zoning, land use, title, and environmental issues.
  • Corporate Governance:

    • Provide counsel on entity formation, corporate structure, and governance matters.
    • Manage legal aspects of capital raising and investor relations.
  • Contract Oversight:

    • Develop and maintain contract templates and best practices for the organization.
    • Oversee contract lifecycle management and enforce contractual rights.
  • External Counsel Management:

    • Select and manage outside counsel for specialized matters.
    • Monitor legal budgets and control costs effectively.

Qualifications

  • Education: Juris Doctor (JD) from an accredited law school; active license to practice law.
  • Experience:
    • Minimum 8-10 years of legal experience, with significant focus on real estate transactions.
    • Prior experience in real estate development, investment, or construction preferred.
  • Skills:
    • Strong negotiation and drafting skills.
    • Ability to manage multiple complex transactions simultaneously.
    • Excellent communication and business acumen
