Equity Derivatives Counsel - Leading Global Bank
Overview: As an Equity Derivatives Counsel, you will provide legal guidance and support to the bank's equity derivatives trading and structuring teams. Your role will involve advising on a broad range of equity derivatives products, fixed income structured products, margin loans, cash equities, and other investment banking products. You will ensure compliance with regulatory requirements and manage legal risks associated with these transactions.
Key Responsibilities:
- Legal Advice: Provide legal counsel on equity derivatives transactions, including OTC equity derivatives, structured notes, margin loans, and other related products.
- Documentation: Draft, review, negotiate, and execute agreements such as ISDA confirmations, loan documents, issuer accelerated share repurchase plans, 10b5-1 plans, open market repurchases, and securities lending agreements.
- Regulatory Compliance: Advise on regulatory matters related to SEC registered, Rule 144A, and Reg S structured products linked to equity, fixed income, and credit instruments. Ensure compliance with FINRA, SEC, CFTC regulations, and internal policies.
- Risk Management: Coordinate with compliance, credit, and other control functions to manage legal, regulatory, and reputational risks.
- Collaboration: Work closely with business partners, portfolio teams, and colleagues in the legal department to provide comprehensive legal support and coordinate advice on transactions and regulatory changes.
- Leadership: Lead a team in managing legal, regulatory, and reputational risk issues. Oversee external counsel engagements and manage legal costs and expenses.
Qualifications:
- Education: JD from an accredited law school.
- Experience: #+ Years experience at a law firm and/or broker-dealer, with a focus on equity derivatives and structured products.
- Bar Admission: Member in good standing of the New York Bar.
- Skills: Strong knowledge of securities laws (1933 Act, 1934 Act, Title VII of the Dodd-Frank Act), ISDA documentation, and equity derivative products. Excellent drafting, negotiating, and communication skills.
- Attributes: Agile mindset, ability to weigh risk and reputational issues, and enthusiasm for handling a range of legal matters.
