We are currently partnered with a Fortune 500 wholesale retail company providing a curated assortment of household essentials, grocery, technology, appliances, gas, and more across their wide product line. With over 7 million members and 240 store locations, this company pioneered the warehouse club model and has grown to be a staple shopping club in the Northeast.
This company is looking for real estate counsel to support their vast portfolio and help expand their business to new territories. This person will be a key member of the legal team and have direct input on the expansion of clubs, distribution centers, and gas stations.
Responsibilities:
- Serve as lead real estate leasing and transaction counsel concerning retail locations, distribution centers, gas stations, and other company locations.
- Negotiate and draft leases, purchase and sale agreements, development agreements, REAs, and various other commercial real estate documents, including lease amendments, ground leases, condominium documents, construction agreements, subleases, SNDAs, estoppel certificates, letter agreements, and default notices.
- Provide legal guidance to various in-house clients regarding lease provisions, operational issues, violations, signage, construction issues, access agreements, landlord/tenant disputes, and repair and maintenance issues.
- Analyze title and surveys and identify potential environmental risk and liability.
- Work with outside counsel as necessary
- Assist in management of all real estate related litigation.
- Assist in updating the Company's real estate documents and forms
- Assist local land use counsel as needed with respect to zoning, permitting, incentives and similar matters.
Qualifications:
- Bachelor's degree and law degree from a top college or university
- In-depth experience as deal counsel, particularly leasing experience and development experience, with significant experience on behalf of retail organization(s)
- Familiarity with reciprocal easement agreements, development agreements, joint ventures, condominiums, bankruptcy, condemnation, sale leasebacks, assignments, and environmental matters.
- Strong big box retail negotiating skills and experience with major national and east coast regional shopping center developers and landlords
- 8-10 years' experience at a top law firm and/or in-house environment
- Experience in construction law and familiarity with construction contracts preferred.
