A reputable client is seeking a highly skilled and experienced Public Securities Attorney to join their dynamic legal team. The ideal candidate will be at the Counsel level, with a strong background in providing comprehensive legal services to clients with public securities and capital markets work. The successful candidate will possess excellent analytical, communication, and negotiation skills, and will thrive in a fast-paced, collaborative environment. This role will sit in New York City.
Key Responsibilities:
- Navigate public company rules and regulations, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
- Manage public and private securities offerings.
- Ensure compliance with national securities exchange listing rules.
- Prepare and review reports on Forms 10-K, 10-Q, and 8-K.
- Draft proxy statements for annual and special shareholder meetings.
- Handle Section 16 Reporting (Forms 3, 4, and 5).
- Provide general corporate and corporate governance support, including drafting board resolutions, policies, and press releases.
Qualifications:
- Juris Doctor degree from an accredited law school.
- Admission to the New York state bar and in good standing or ability to waive in within 45 days.
- Minimum of 8+ years of in-depth experience in the areas listed above.
- Broker-dealer, FINRA, investment adviser, or fund formation experience is a plus.
