Remote Senior Corporate Counsel, Securities and Corporate Governance Opportunity
A recently publicly traded clinical-stage biotechnology company is looking for a fully remote Senior Corporate Counsel, Securities and Corporate Governance to join their rapidly growing company. This Bio-tech company decodes biology by integrating technological innovations across data science, biology, engineering, automation, and chemistry, to radically improve the lives of patients and industrialize drug discovery.
Responsibilities
- Lead the preparation and coordination of various periodic report filings pursuant to the '34 Act, including Form 10-Ks, 10-Qs, Form 8-Ks and proxy statements
- Lead the preparation and coordination of '33 Act filings, including registration statements
- Effectively manage and work collaboratively with securities and corporate outside counsel
- Collaborate cross-functionally with other parts of the team
- Supports M&A, securities, and public/private offerings
Qualifications
- JD with membership in good standing in a state bar
- 3+ years of experience (In House or Law Firm) and deeply knowledgeable with 34 & 33 Act and Section 16 reporting.
- Preferable Big Law or Life sciences Experience.
