As a Fund Formation Counsel, you will play a pivotal role in their investment management and fund formation efforts. You will work closely with their legal and investment teams to structure, negotiate, and launch a variety of investment funds. Your expertise will be critical in ensuring compliance with regulatory requirements while achieving our business objectives.
Collaborate with internal teams to develop, structure, and launch investment funds, including private equity, hedge funds, and other investment vehicles.
Draft and negotiate fund documentation, including limited partnership agreements, subscription agreements, and side letters.
Provide legal counsel on fund compliance, regulatory matters, and investor relations.
Review and advise on fund-related contracts, agreements, and disclosures.
Stay current with industry trends and regulatory changes to ensure fund structures and strategies remain compliant and competitive.
Assist with due diligence and risk assessment related to fund investments.
Juris Doctor (JD) degree and a bar membership in New York.
5+ years of legal experience, with a focus on fund formation and investment management.
Strong knowledge of securities laws, regulatory requirements, and industry best practices.
Exceptional drafting and negotiation skills for fund documentation.
Detail-oriented with excellent analytical and problem-solving abilities.
Strong communication and interpersonal skills to work effectively with cross-functional teams.
