A rapidly expanding renewable energy company committed to forging a sustainable future is seeking its second legal hire as their Deputy General Counsel. Our client's mission focuses on developing, financing, and operating renewable energy projects aimed at fostering a clean and eco-friendly environment.
Positition Overview
The Deputy General Counsel will play a crucial role in scaling their operations by providing expert legal advice to senior leadership on the development, purchase, and sale of projects. With the company charging forward on its ambitious expansion journey, they are in search of a skilled and driven attorney to be a part of key decisions and help continue making an impact in the market. This position is located in Washington, DC with a work from home flexibility.
Responsibilities:
- Working closely with commercial teams comprised of feasibility, development, finance, engineering and other disciplines to manage the development of renewable energy power generation projects from early-stage activities to commercial operations.
- Serve as both legal advisor and business partner to the project development team, providing highly commercial and creative solutions on business matters and project development
- Draft and negotiate key contracts related to project development, including Engineering, Procurement, and Construction (EPC) contracts, Power Purchase (PPAs) agreements and site control agreements.
- This is a cross-functional position that will provide legal support to the development, commercial and project execution teams while interfacing with the finance team to help support project financing.
- Provide legal support for M&A activities, including due diligence, negotiation, and execution of acquisition agreements.
- Advise on legal risks and opportunities associated with potential acquisitions and partnerships.
Required Qualifications:
- J.D. degree from an accredited law school
- Admitted to practice law in good standing in at least one state
- Proven ability to manage the drafting and negotiation of all commercial agreements related to the development of renewable energy projects
- Must have 4+ years of transactional experience in renewable energy sector
- Ability to work collaboratively with business teams and external teams
