Role: Corporate Paralegal
Job Description: The Paralegal will be responsible for supporting a wide range of corporate and administrative matters to the Legal Department. The candidate will ideally have a strong work ethic, great organizational skills as well as time management, the ability to learn quickly, and a operates with a high attention to detail. Tasks that the Corporate Paralegal will be expected to, but not limited to, do are as follows:
- Assist with tasks associated with closing a corporate transaction, including document preparation and organization, maintenance of closing checklists, preparation of signature page packets and organization of post-closing items.
- Draft a wide variety of legal ancillary documents and template corporate agreements, including operating agreements, resolutions/written consents, minutes, and non-disclosure agreements.
- Maintain the company's corporate structure chart and other various internal lists/charts related to entities, as well as transactional, regulatory and other legal matters.
- Assist with misc. corporate filings (e.g., formation, qualification and dissolution of entities, DBA filings, name change amendments, etc.).
- Provide administrative support such as calendar management and preparing/processing expense reports.
- Organize and maintain documents in an electronic document management system.
- Perform legal administrative ad hoc duties when requested.
Requirements:
- Minimum of 2 years relevant paralegal experience
- Knowledge of corporate transactions, investment adviser regulation and/or corporate secretarial responsibilities
- A Bachelor's degree and/or a Paralegal certification or comparable experience
- Must be extremely organized, have the ability to work independently and manage multiple projects simultaneously to completion
- Strong computer skills, including proficiency in Microsoft Office Suite and document management systems
- Ability to multi-task, prioritize and work in a demanding, fast-paced office environment
