Requirements:
- Securities: Stay abreast of and ensure compliance with applicable securities laws and regulations, including the Securities Act of 1933, Securities Exchange Act of 1934, and relevant state securities laws
- Mergers and Acquisitions: Support the legal team in all aspects of mergers, acquisitions, and other strategic transactions, including conducting due diligence, drafting and negotiating transactional documents, and coordinating with external legal advisors
- Corporate Governance: Advise on corporate governance matters, including board meetings, corporate policies, and regulatory compliance in collaboration with internal stakeholders
- Regulatory Filings: Assist in preparing and filing regulatory reports, including SEC filings, and ensuring compliance with disclosure obligations
- Contract Negotiation: Draft, review, and negotiate a wide range of contracts, agreements, and other legal documents, including vendor contracts, non-disclosure agreements, and employment agreements
Qualifications:
- 4-7 years of relevant experience with a reputable law firm with clients in the financial services or technology sectors is a plus
- Candidate must have a Juris Doctorate, top academic credentials, and be a member in good standing of the Illinois bar
- The ideal candidate will be able to work independently under tight deadlines and possess excellent organizational and interpersonal skills
- Excellent management skills and business judgment with a capacity to make decisions and give advice, which demonstrates an understanding of overall business objectives and the risks/rewards of each situation
- Strong research and writing skills, and a demonstrated ability to communicate effectively with a non-legal audience, are required
