Corporate, Securities and Governance
- Assist in the preparation of and provide overall legal and filing support for current and periodic SEC reports, including Form 10-K, Form 10-Q, and Form 8-K;
- Prepare, review, and provide compliance and disclosure advice concerning Section 16 reporting;
- Monitor and advise on current and new securities law legislation and related regulatory matters and developments
- Assist in the structuring, negotiation, and execution of a variety of public and private financing transactions, including debt financings, capital markets transactions, private placements, working capital facilities, overdraft facilities, securitization transactions and project finance transactions
- Assist in the preparation of preliminary indications of interest relating to targeted M&A activity globally
- Drafting and negotiating a wide variety of agreements, including, without limitation purchase and sale agreements, joint venture and shareholder agreements, transition services agreements, investment banking engagement letters, and confidentiality agreements
Qualifications
- JD from accredited U.S. law school together with demonstrated academic excellence (required) and 4-6 years of experience at a highly regarded law firm or in the legal department of a U.S. publicly traded corporation devoted primarily to reporting and compliance with laws and regulations applicable to public companies, including those administered by the SEC (required);
- Transaction experience (Finance and M&A) in either the law firm or in house setting (preferred)
