We are partnering with a growing innovative Fintech company who is currently seeking a corporate finance/capital markets attorney to join their expanding legal team. You will report directly to the General Counsel and work closely with the Investment and Origination teams dealing with debt and equity investments. You will be responsible for a variety of transactional related legal matters and have the ability to lead and manage deals from start to close. This is an exciting opportunity for an individual to be part of a growing team and make an impact at a growing investment platform.
Responsibilities:
- Play a lead role in negotiating, drafting, and managing asset purchase agreements, loan agreements, operating agreements and joint venture agreements.
- Advise on securities offerings disclosure documents and related issues for origination and offering documentation.
- Work closely with the investment team to structure and close U.S. and cross-border transactions and negotiate, draft and manage related loan and investment documentation in various asset classes.
- Advise on corporate governance issues, as well as liaise with various teams and stakeholders both internally and externally.
Requirements:
- JD from a top tier Law school
- 6-9 years of experience at a top-tier law firm or in-house
- Expertise in Corporate Finance, Capital Markets, & Securities.
- Experience working with complex transactions and funds a plus
