An institutional investment management firm based in San Francisco, California is seeking an in-house legal counsel to join their team. They partake in a variety of investment strategies across public and private equity, credit, and more, primarily partnering with innovative companies operating within the technology sector. This firm has posted significant returns over the past few years and is currently in growth mode.
They are seeking an entrepreneurial-minded attorney to be their sole in-house counsel and impact the business in several areas including fund formation, compliance, transaction management, and general corporate matters. They are not seeking someone who has ALL of these skills - they are primarily looking for funds experience and are happy for this person to help where they can while also relying on outside counsel. This is an exciting position as you will work closely with the Founder and leadership team of the firm and act as a close advisor to the business. There is a defined growth plan as you will be able to grow into a GC position for the firm.
Responsibilities:
- Play a lead role in fund formation activities for the firm, including managing outside counsel
- Manage compliance-related activities, respond to regulators as needed, and develop compliance best practices for the firm
- Collaborate with the business on transactional matters across various investment strategies, helping with deal execution and documentation where needed
- Assist with general corporate matters, including but not limited to HR and employment issues, contract drafting and negotiation, interacting with external counterparties, etc.
Qualifications:
- Law degree from a US accredited law school
- 4+ years of experience practicing law, ideally at a top law firm in an investment management or funds group
- Entrepreneurial mindset and willingness to learn new things
- Strong collaboration and communication skills
