You will be responsible for…
- Advise on various securities laws and trading policies
- Oversee the preparation of SEC filings, including 10-Ks, 10-Qs, 8K, Forms 3, 4, and 5, and Proxy and public filings
- Draft and negotiate agreements, advise on transactional matters
- Manage and build client relationships
- Create and implement regulatory requirements
- Provide guidance on corporate governance and secretarial matters
- Partner with various departments to ensure proper legal compliance to regulatory standards, conduct research and provide updates
You should have the following qualifications…
- 10+ years of legal experience as an in-house counsel or within a top tier law firm, within the insurance or finance sectors
- Extensive background working within the securities space and familiarity with SEC regulatory requirements
- J.D. and admission to a state bar is required
