One of the top Health Systems in the country is looking to bring on a Transactions Counsel at the Assistant General Counsel level. This Health System is involved in a high volume of strategic transactional activity; in this seat, you will join a seasoned and robust Legal team and report directly into the Vice President & Associate General Counsel of the system. The organization is continuing to grow its footprint through acquisitions, partnerships, and joint ventures, making this a highly visible role with consistent exposure to executive leadership.

You will oversee M&A due diligence (specifically involving the purchase and sale of hospitals), corporate governance matters, and joint venture activity, while also playing a key role in structuring and negotiating complex healthcare transactions. This position will interface cross-functionally with business, finance, and operational stakeholders to ensure alignment on strategic initiatives and regulatory compliance.

Responsibilities:

  • Advise on M&A transactions, joint ventures, affiliations, and corporate governance matters.
  • Lead due diligence efforts and support transaction structuring and execution.
  • Provide counsel on healthcare regulatory matters (AKS, Stark Law, HIPAA, the False Claims Act, Medicare, etc.) as they relate to strategic transactions.
  • Partner with internal stakeholders to mitigate risk and drive efficient deal execution.

Requirements:

  • JD from an accredited law school.
  • 5+ years of experience with strategic transactions within the healthcare space (healthcare organization or healthcare practice group at a firm).
  • Strong understanding of healthcare regulatory frameworks impacting transactions.
