General Counsel

A leading healthcare services organization is seeking a strategic and experienced General Counsel to serve as the primary legal advisor to executive leadership and the Board of Directors. This role provides comprehensive legal oversight across all business operations, including corporate governance, mergers and acquisitions, litigation, regulatory affairs, and compliance.

The General Counsel will lead the legal function, manage external counsel relationships, and ensure alignment between legal strategy and business objectives. This individual must be a collaborative leader with deep expertise in healthcare law and a commitment to fostering a culture of integrity and compliance.

Key Responsibilities

Legal Leadership & Strategy

  • Advise executive leadership and the Board on legal and business matters.
  • Develop and implement legal strategies that support organizational goals.
  • Manage relationships with external legal counsel.

Corporate Governance & Securities

  • Oversee board meeting preparation, corporate filings, and recordkeeping.
  • Ensure compliance with securities laws and document retention policies.

Mergers & Acquisitions

  • Lead legal aspects of M&A activities including due diligence, negotiation, and integration.
  • Manage post-closing matters and transitions.

Contract Management & Negotiations

  • Review and negotiate contracts with payors, providers, vendors, and employees.
  • Oversee contract implementation and dispute resolution.

Litigation Management

  • Direct litigation strategy and manage external litigation counsel.
  • Handle regulatory investigations and enforcement actions.

Regulatory & Compliance Oversight

  • Oversee enterprise compliance program and ensure adherence to healthcare regulations.
  • Manage audits, surveys, and regulatory filings.

Risk Management

  • Collaborate with finance leadership to identify and mitigate legal risks.
  • Develop policies to minimize exposure and ensure compliance.

Team Leadership

  • Lead and develop the legal department.
  • Manage departmental budget and ensure cost-effective legal service delivery.

Qualifications

Required

  • J.D. from an accredited law school.
  • Licensed to practice law in Texas (or ability to obtain licensure in other states).
  • 10+ years of legal experience, including 5+ years in a senior legal role.
  • Extensive experience in healthcare law, including Medicare/Medicaid regulations.
  • Proven expertise in M&A, corporate governance, and litigation management.
  • Strong negotiation, communication, and leadership skills.
  • Experience in healthcare services such as home health or hospice is preferred.
